These Terms of Service ("Terms") govern your access to and use of OrbitLab's website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration
To access certain features of our Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your password secure and confidential
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities under your account
3. Use of Services
3.1 License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or business use.
3.2 Restrictions
You agree not to:
- Use the Services for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use automated systems to access the Services without our permission
- Impersonate any person or entity
- Transmit any viruses, malware, or other malicious code
- Collect or harvest information about other users
4. Fair Use and Acceptable Use
Our hosting, application, and domain services are provided for lawful use. You must use resources (bandwidth, storage, CPU, and memory) in a manner consistent with normal use and your plan. Excessive or abusive use that impacts other users or the stability of our infrastructure is not permitted.
4.1 Prohibited Uses
You may not use the Services to:
- Send spam, bulk unsolicited email, or phishing
- Distribute malware, viruses, or harmful code
- Host or distribute illegal content (including content that infringes intellectual property, or that is defamatory, or that violates applicable law)
- Run cryptocurrency mining, peer-to-peer file-sharing at scale, or similar resource-intensive activities unless explicitly allowed by your plan
- Resell or sublease hosting, bandwidth, or other resources without a separate agreement with us
- Operate open proxies, open relays, or Tor exit nodes without prior written consent
- Circumvent usage limits, security controls, or access controls
4.2 Enforcement
We may monitor usage for abuse and compliance with these Terms. If we reasonably believe you have violated this section, we may throttle, suspend, or terminate your access to the affected service with or without notice. We may also define or adjust per-plan limits (e.g. bandwidth, storage, or request rates) and will make such limits known in your plan description or dashboard. Continued compliance with fair use is your responsibility.
4.3 Domain Name Registration and Services
Domain registration, renewal, and related services ("Domain Services") are provided through third-party ICANN-accredited registrars. Use of Domain Services is subject to the terms of the applicable registrar, the rules and policies of the relevant top-level domain ("TLD") registry, and the Internet Corporation for Assigned Names and Numbers ("ICANN"). You are responsible for reviewing and complying with all such policies.
Representations. You represent and warrant that: (a) your domain name and any associated use do not violate applicable laws or infringe any third-party rights, including intellectual property or privacy; (b) all information you provide in connection with Domain Services is accurate, complete, and up to date; and (c) you meet any eligibility criteria required by the applicable TLD or registrar. We may reject or cancel a registration if any of these are untrue or misleading.
No proprietary right. Registration of a domain name does not create a proprietary right and is not evidence of ownership. Registration may be challenged by others who claim entitlement to the domain name.
Renewal and expiration. You are solely responsible for knowing the expiration date of your domain and renewing it in a timely manner. If you enable automatic renewal, you authorize us to charge your payment method for renewal fees before the expiration date. If you do not renew in time, the registration may expire and the registrar may delete, hold, or transfer the domain. Your right to a domain ceases upon its expiration.
Fees. Fees for Domain Services are non-refundable and non-transferable. You authorize us to charge your payment method for registration and renewal fees as applicable.
Disputes and indemnification. If we become aware of a dispute, allegation, or complaint regarding a domain name, we may take such action as we reasonably deem necessary, including modifying, suspending, or transferring the domain to comply with legal or administrative requirements. You agree to indemnify us from any claims, disputes, or costs arising from or relating to your domain name or your breach of these representations or any applicable registry or registrar policies.
Domain Services are provided "as is." We may suspend or cancel a domain if required by the registry or registrar, by law, or for breach of these Terms.
5. User Content
5.1 Your Content
You retain ownership of any content you submit, post, or display through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, and display your User Content in connection with providing the Services.
5.2 Content Responsibility
You are solely responsible for your User Content and the consequences of posting it. You represent that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.
6. Payment and Billing
If you purchase a paid subscription or service:
- You agree to pay all fees associated with your subscription or one-time purchase
- Fees are billed in advance on a recurring basis (monthly or annually) where applicable
- We accept payment by mobile money (e.g. Airtel Money, M-Pesa) and by Visa/Mastercard as indicated on our website
- All fees are non-refundable once the service has been provisioned or the billing period has started, unless otherwise required by law or stated in a specific offer
- You may cancel a subscription; cancellation takes effect at the end of the current billing period and no refund is due for the unused portion
- We may change our fees with reasonable notice to you; continued use after the change constitutes acceptance
- You authorize us to charge your chosen payment method for all fees
- Failure to pay may result in suspension or termination of your account and services
7. Intellectual Property
The Services and all content, features, and functionality (excluding User Content) are owned by OrbitLab and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Services without our express permission.
8. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination:
- Your right to use the Services will immediately cease
- We may delete your account and User Content without liability
- Provisions that should survive termination will remain in effect
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Any stated uptime or service level (e.g. 99.9%) is a target and not a guarantee; we are not liable for failure to meet such targets except as may be expressly agreed in a separate service level agreement.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITLAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.
11. Indemnification
You agree to indemnify, defend, and hold harmless OrbitLab and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OrbitLab is established, without regard to its conflict of law provisions.
12.2 Arbitration
Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, except that either party may seek injunctive relief in court.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
14. General
- Entire Agreement: These Terms constitute the entire agreement between you and OrbitLab
- Severability: If any provision is found invalid, the remaining provisions will remain in effect
- Waiver: Our failure to enforce any right or provision does not constitute a waiver
- Assignment: You may not assign these Terms without our consent
